1. License Grant

When you purchase a ProjChecks digital product, ProjChecks grants the purchasing legal entity a limited, non-exclusive, nontransferable, revocable license to download, access, copy, and modify the product for that entity's internal business use and project work, subject to these terms.

Unless the product page expressly states otherwise, this is a single-organization license. Affiliates, separate legal entities, clients, joint ventures, and outside firms must obtain their own license.

2. Permitted Use

The licensee may:

•        Customize the product for its internal workflows and projects.

•        Use completed outputs in internal records, meetings, project administration, and client deliverables.

•        Share a reasonable number of internal working copies with employees and individual contractors performing work for the licensed entity, provided they are informed of these restrictions.

•        Create backups reasonably necessary to preserve access.

3. Prohibited Use

The licensee may not:

•        Resell, rent, sublicense, publish, upload, distribute, or give away the editable product or substantially similar derivative template.

•        Share the source files through public links, shared drives accessible outside the licensed entity, membership libraries, template marketplaces, or group-purchase arrangements.

•        Remove copyright, trademark, or ownership notices.

•        Use the product to build a competing template, content library, software tool, training dataset, or commercial product.

•        Represent the underlying ProjChecks methodology or source product as created by another party.

•        Circumvent download, checkout, account, or access controls.

4. Client Deliverables

You may provide clients with completed reports, exported PDFs, populated forms, or other finished outputs created through legitimate use of the product. You may not provide clients with the blank or editable ProjChecks source product unless the client separately licenses it.

5. Ownership

ProjChecks retains all ownership of the product, its structure, methods, design, source content, and intellectual-property rights. The purchase transfers a license only and does not transfer copyright or ownership.

6. Updates and Support

A purchase includes only the version and support expressly described on the product page. Future revisions, consulting, customization, training, or software compatibility are not included unless stated.

7. No Guaranteed Outcome

Digital products are general tools and must be reviewed, adapted, and approved for the user's project, contracts, jurisdiction, and internal controls. ProjChecks does not guarantee completeness, code compliance, contractual compliance, or a particular result.

8. Refunds

Because digital products are delivered immediately and cannot be physically returned, sales are final after access or delivery except for duplicate charges, verified technical delivery failures that ProjChecks cannot correct, or refunds required by law. See the Refund and Cancellation Policy.

9. Termination

The license terminates automatically upon material breach. On termination, the user must stop using and distributing the source product and delete unauthorized copies. ProjChecks may pursue available remedies for infringement or unauthorized distribution.
