1. Acceptance of These Terms

These Terms and Conditions ("Terms") govern your access to and use of projchecks.com, related pages, forms, content, downloads, products, and online features operated by ProjChecks LLC (collectively, the "Site"). By accessing the Site, submitting information, creating an account, or purchasing a product, you agree to these Terms. If you do not agree, do not use the Site.

Additional written agreements may apply to professional services, assessments, consulting engagements, subscriptions, custom work, or specific products. If a signed agreement conflicts with these Terms, the signed agreement controls for that engagement.

2. Eligibility and Authority

You must be legally capable of entering into a binding agreement. If you use the Site on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

3. Website Information Is General and Advisory

Site content is provided for general informational, educational, and commercial purposes. It is not a substitute for projectspecific professional judgment or advice from a licensed engineer, architect, attorney, accountant, safety professional, code official, or other qualified professional.

ProjChecks provides independent technology consulting, project recovery support, owner representation, assessments, resources, and related advisory services only within the scope stated in an applicable proposal or agreement. ProjChecks does not assume operational control of a project, supervise contractors, direct means and methods, certify code compliance, or guarantee a particular outcome unless expressly stated in a signed agreement.

4. Professional Services

Professional services are not created merely by visiting the Site, submitting a form, scheduling an introductory call, or receiving general information. A client relationship begins only when ProjChecks accepts an engagement in writing and any required agreement, proposal, deposit, or authorization is completed.

Deliverables, schedules, fees, assumptions, client responsibilities, and limitations for professional services will be stated in the applicable written agreement.

5. Products, Pricing, and Order Acceptance

Product descriptions, availability, pricing, promotional terms, and images may be changed without notice. ProjChecks may correct errors, reject or cancel an order, limit quantities, or request additional information before accepting an order. An order confirmation acknowledges receipt and does not necessarily constitute final acceptance.

Applicable taxes, shipping, processing, or other charges will be shown at checkout when available. You are responsible for providing complete and accurate billing, delivery, and contact information.

6. Digital Products

Digital products are licensed, not sold. Purchase grants only the limited rights stated in the Digital Product License and Usage Terms. Unless a product page expressly states otherwise, the default license is a single-organization license for the purchasing legal entity.

Digital products may not be resold, shared publicly, redistributed, sublicensed, posted to a shared template marketplace, or provided as editable source material to third parties. You may use completed outputs created from a product in your own internal operations or client work, provided the editable source product is not distributed.

7. Physical Products, Shipping, and Returns

Physical merchandise is subject to the Shipping and Returns Policy and any product-specific terms shown at checkout. Delivery estimates are estimates, not guarantees. If ProjChecks cannot ship within the promised timeframe, it will provide legally required delay, cancellation, or refund options.

8. Payment

You authorize ProjChecks and its payment processor to charge the payment method you provide for the amount shown at checkout. Payment card information is processed by third-party payment providers and should not be stored directly by ProjChecks unless specifically disclosed.

Chargebacks should not be used as a substitute for contacting ProjChecks about an order issue. This provision does not waive any rights available under applicable law.

9. Intellectual Property

The Site and its content, including the ProjChecks name and logo, text, graphics, frameworks, methods, checklists, templates, downloads, page designs, photographs, icons, and software, are owned by or licensed to ProjChecks LLC and are protected by intellectual-property laws.

Except for the limited rights expressly granted in these Terms or a product license, no content may be copied, reproduced, modified, published, transmitted, sold, reverse engineered, scraped, or used to create a competing product or service without written permission.

10. User Submissions and Communications

You retain ownership of information and materials you submit. You grant ProjChecks a limited permission to receive, store, reproduce, and use submitted materials only as reasonably necessary to respond to you, provide requested services, maintain records, protect the Site, and comply with law.

Do not submit confidential, export-controlled, security-sensitive, or third-party proprietary information unless ProjChecks has agreed in writing to receive it and you are authorized to disclose it.

11. Prohibited Conduct

You may not misuse the Site, interfere with its operation, attempt unauthorized access, introduce malicious code, scrape or harvest data, impersonate another person, submit unlawful or infringing content, bypass product access controls, share paid download links, or use Site content to train, populate, or distribute a competing commercial content library without written permission.

12. Third-Party Services and Links

The Site may rely on or link to third-party services such as hosting, payment processing, analytics, email delivery, scheduling, shipping, social media, or embedded content. ProjChecks does not control third-party services and is not responsible for their separate terms, privacy practices, availability, or content.

13. Disclaimers

To the maximum extent permitted by law, the Site, Content, and Online Products are provided “as is” and “as available.” ProjChecks disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted availability.

ProjChecks does not warrant that Site Content or Digital Products will identify every project issue, satisfy every contractual or regulatory requirement, or produce a particular business or project result. You are responsible for reviewing and adapting materials to your facts, contracts, jurisdiction, and risk profile..

14. Limitation of Liability

To the maximum extent permitted by law, ProjChecks will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, data, opportunities, or business interruption arising from the Site or Online Products.

To the maximum extent permitted by law, ProjChecks’ total liability arising from the Site or an Online Product will not exceed the greater of: (a) the amount you paid for the product or Site transaction giving rise to the claim during the twelve months before the claim; or (b) one hundred U.S. dollars. Limitations in a separate signed Professional Services Agreement control for that engagement.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless ProjChecks and its owners, personnel, contractors, and service providers from third-party claims arising from your unlawful use of the Site, violation of these Terms, infringement of another person's rights, or unauthorized redistribution or misuse of licensed products.

16. Suspension and Termination

ProjChecks may suspend or terminate access to the Site or a digital product when reasonably necessary to address suspected fraud, security threats, unlawful conduct, license violations, nonpayment, or material violations of these Terms. Sections that by their nature should survive termination will remain effective.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. Subject to any different dispute provision in a signed agreement, claims will be brought in a court of competent jurisdiction located in Colorado. Nothing in these Terms prevents either party from seeking temporary or injunctive relief to protect intellectual property, confidential information, or system security.

18. Changes to These Terms

ProjChecks may update these Terms from time to time. The updated version will be posted with a revised effective date. Material changes will apply prospectively unless law permits otherwise. Continued use after the effective date of updated Terms constitutes acceptance.
